MASTER SUBCONTRACTOR & CUSTOMER PROTECTION AGREEMENT

One-time onboarding agreement for Rigor Contracting LLC subcontractors

Purpose: You sign this once when joining Rigor's subcontractor network. You remain free to work for anyone, but you may not bypass Rigor and make a direct deal with a customer Rigor introduced to you.

This Agreement is between Rigor Contracting LLC ("Rigor") and the subcontractor identified on the signature page ("Subcontractor"). It becomes effective on the date Subcontractor signs it.

1. One-Time Agreement; Future Jobs

This Agreement is signed once as part of onboarding and applies to every job Rigor later offers to Subcontractor. Rigor may offer jobs by text, phone, email, or dispatch software. Subcontractor may accept or decline any job. Rigor does not guarantee any minimum amount of work. Job-specific scope, timing, location, and payout may be communicated separately and do not require a new signed subcontractor agreement.

2. Independent Contractor

Subcontractor is an independent business and not an employee, partner, joint venturer, or agent of Rigor. Subcontractor is responsible for its own workers, taxes, vehicles, tools, equipment, expenses, and methods of performing the work, and has no authority to bind Rigor or make promises on Rigor's behalf.

3. Protected Customers; No Circumvention

A "Protected Customer" is any customer or prospective customer whose identity, contact information, property, job, or business opportunity Subcontractor learns about through Rigor or because of a Rigor job. For 24 months after Subcontractor's most recent Rigor job involving that Protected Customer, Subcontractor shall not, directly or indirectly, outside of Rigor: (a) solicit or accept work from the Protected Customer; (b) contract with, invoice, or receive payment from the Protected Customer; (c) offer the Protected Customer a direct or lower price; or (d) refer, route, transfer, or help place the Protected Customer with another person or company. This applies even if the Protected Customer contacts Subcontractor first. Subcontractor is responsible for ensuring that its owners, workers, employees, agents, and affiliates do not do what Subcontractor is prohibited from doing. If Subcontractor had a genuine business relationship with the customer before Rigor introduced the customer, Subcontractor must disclose that relationship to Rigor in writing before accepting the Rigor job.

4. Customer Contact, Marketing, Pricing & Payment

Subcontractor may communicate with a customer only as reasonably necessary to perform the assigned job or as Rigor directs. Subcontractor shall not give Rigor customers its own business cards, personal or business phone number for future work, social-media information, website, advertising, or other marketing materials. Subcontractor shall not discuss Rigor's customer price, Subcontractor's payout, Rigor's markup or margin, direct pricing, future work, or any change in price or scope. All pricing and scope changes must be referred to Rigor. Subcontractor shall not accept any payment from a Rigor customer; customer payments are made to Rigor.

5. Confidential Information

Customer names, phone numbers, addresses, lead information, job details, Rigor pricing, Subcontractor payouts, margins, business methods, and other non-public information received through Rigor are confidential. Subcontractor may use that information only to perform Rigor jobs and may not copy, retain, disclose, sell, or use it to market or obtain work outside Rigor.

6. Workmanship & Responsibility

Subcontractor shall perform accepted jobs safely, professionally, lawfully, and in accordance with the scope Rigor provided. Subcontractor is responsible for its crew and for property damage or loss caused by its negligence, willful misconduct, or failure to follow the agreed scope. Subcontractor shall promptly report any accident, damage, customer complaint, or material issue to Rigor. Rigor may request insurance, licenses, W-9 information, or other onboarding documents before offering certain jobs, but this Agreement itself does not guarantee or require any particular volume of work.

7. Breach; Court Remedies

Rigor may immediately stop offering work or end the subcontractor relationship for any violation of this Agreement. Subcontractor agrees that unauthorized use of Rigor customer relationships or confidential information can cause harm that may not be fully repaired by money alone. If a breach occurs, Rigor may pursue all remedies available in court, including temporary, preliminary, and permanent injunctive relief, recovery of provable damages and lost profits, recovery of amounts earned from prohibited direct work where allowed by law, and reasonable attorneys' fees and court costs to the extent permitted by law.

8. Termination; Continuing Protection

Either party may end the working relationship at any time. Ending the relationship does not cancel the 24-month protection for Protected Customers or the confidentiality obligations in this Agreement.

9. General Terms

Illinois law governs this Agreement. Any lawsuit relating to this Agreement shall be brought in a state or federal court located in Cook County, Illinois, unless the parties agree otherwise in writing. This Agreement is the entire agreement on the subjects it covers and may be changed only in a writing signed by Rigor and Subcontractor. If any provision is found unenforceable, it shall be enforced to the maximum lawful extent and the remaining provisions will remain in effect. Electronic signatures and counterparts are valid as originals.

Acknowledgment

Subcontractor confirms that it has read and understands this Agreement, has had the opportunity to ask questions or consult its own attorney, and agrees to be bound by it as a condition of joining Rigor's subcontractor network.
